These Terms and Conditions (“Terms”) govern the use of the website www.uxperiment.design and all services provided by UXperiment Inc. (“UXperiment,” “we,” “us,” or “our”). By accessing our website, using our services, or engaging with us as a client, you agree to these Terms in full.

Definitions
- “Client”: Any individual, organization, or representative that enters into a service agreement with UXperiment.
- “User”: Any individual accessing or using the UXperiment website.
- “Deliverables”: Final work products provided to the client, including designs, assets, templates, and reports.
- “Agreement”: The written contract, proposal, invoice, or statement of work defining scope and responsibilities.
Eligibility
To use our services, you must:
- Be at least 18 years old or have legal capacity to enter into a binding agreement.
- Provide accurate and complete information as requested.
- Not use our services in violation of any local or international laws.
Services
UXperiment provides digital design services including UI/UX design, branding, web graphics, design systems, and sustainability-focused consulting.
All services are project-based and governed by a signed agreement between UXperiment and the Client.
Website Usage
By accessing our website, you agree to:
- Use the website only for lawful purposes.
- Not copy, modify, or distribute website content without permission.
- Not engage in any activity that could harm, disable, or interfere with the website’s functionality.
User Conduct
You agree not to:
- Use our brand, name, content, or likeness in misleading or defamatory ways.
- Upload malicious code, spam, or conduct data scraping.
- Impersonate another person or entity.
- Attempt to gain unauthorized access to our systems.
Payments & Invoicing
- All pricing is agreed upon prior to project initiation.
- Invoices are payable within the payment term specified (typically 10–30 days).
- Late payments may incur interest charges or project suspension.
- International clients are responsible for any currency exchange fees, banking charges, or taxes.
Taxes
Clients are responsible for determining and remitting any applicable taxes (VAT, HST/GST, sales tax, etc.) in their own jurisdictions. UXperiment will comply with tax requirements applicable in its base jurisdictions.
Confidentiality
Both parties agree to maintain the confidentiality of sensitive business, design, and technical information shared during the engagement, except where disclosure is required by law or mutually agreed upon in writing.
Privacy
UXperiment collects limited personal data to fulfill project and communication requirements. We do not sell, trade, or misuse user information.
Licensing & IP
All deliverables and intellectual property are governed by our Licensing Policy. Use of deliverables is limited to what is outlined in that policy.
Termination
UXperiment reserves the right to terminate a client agreement or website access if:
- Terms are violated,
- Payments are overdue,
- A party acts in bad faith, illegally, or unethically.
In such cases, licenses to use deliverables may also be revoked per the Licensing Policy.
Modifications to Services or Terms
We may update our services, features, or these Terms at any time. Any updates will be effective immediately upon posting to the website. Continued use of the website or services implies acceptance of the revised Terms.
Dispute Resolution
n the event of a dispute, both parties agree to attempt to resolve the matter amicably. If a resolution cannot be reached, the dispute may be brought before a competent court in the client’s or UXperiment’s jurisdiction, depending on the nature of the matter.
Disclaimer of Warranties
All services and content are provided “as is,” without express or implied warranties. UXperiment disclaims all liability for issues arising from service use or third-party integrations.
Limitation of Liability
UXperiment is not liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the amount paid for the specific service rendered.
Force Majeure
We are not liable for delays or failures caused by events beyond our control, including natural disasters, government restrictions, or internet outages.
Severability
If any provision of these Terms is found invalid, the rest remain enforceable.
Assignment
Clients may not assign agreements or rights without prior written consent from UXperiment.
Language & Localization
English is the governing language. If translations exist, the English version shall prevail.
